That
the Addison's Disease Self-Help Group adopt the following
amendments to its constitution, so that each clause below
replaces the equivalent clause in the existing
constitution:
C. Aims
The ADSHG
charity’s aims are to promote the relief of persons with
Addison’s disease, in particular by the provision of
support, information and communication for such persons,
their families and carers and by such charitable means as
the trustees (the executive committee) determine.
F. Honorary Officers.
At the
first annual general meeting the members shall elect from
amongst themselves a president and a treasurer who shall
hold office from the conclusion of that meeting for a term
of three years, with no restrictions on the number of
times each officer may be re-elected. A further honorary
officer, the chair, shall be selected by the executive
committee from among their members at the first executive
committee meeting following each annual general meeting.
G. President of the ADSHG
b) The
membership shall at the appropriate annual general meeting
elect the president from the nominations by majority vote.
H. Executive committee
6.
No person shall be entitled to act as a member of
the executive committee whether on a first or on any
subsequent entry into an office, until after signing a
declaration of acceptance and of willingness to act in the
trusts of the charity.
K. Meetings and proceedings of the
executive committee
1.
The executive committee shall keep minutes of the
proceedings at meetings of the executive committee and any
sub-committees.
U. Alterations to the Constitution
1.
Subject to the following provisions of this clause,
the Constitution may be altered by a resolution passed
either at a general meeting or by a postal ballot, by not
less than two thirds of those voting (being either those
present and voting, or returned postal ballots). The
notice of the general meeting must include notice of the
resolution, setting out the terms of the alteration
proposed.
